Quotation Terms & Conditions

  1. Quotation Validity: All prices quoted are valid for 60 days from the date of this quotation unless otherwise specified.
  2. Pricing: Quoted prices (USD) exclude state tax, VAT, import duties, and any insurance-related fees if required by the client.
  3. Tax Exemptions: Clients exempt from tax must provide a valid Exemption Certificate to exclude taxes from the sale.
  4. Payment Terms: Payments may include an initial deposit, milestone payments, and a final payment upon delivery of goods. All first-time clients, delinquent accounts, or accounts that have not made a purchase within the past two years may be required to make 100% payment prior to delivery. For custom projects, payment schedules outlined in applicable quotations apply. Sussex Research reserves the right to request 50% prepayment for high-value orders. Clients approved for Net 30 payment terms must remit all undisputed invoice amounts on or before 30 days from the date of receiving the invoice, unless otherwise agreed to in writing. Extended payment terms may be available upon request and subject to approval.
  5. Payment Methods: Sussex Research accepts payments via checks, wire transfers, or credit cards. Credit card payments exceeding $5,000.00 USD are subject to a 2.4% surcharge unless otherwise agreed to in writing.
  6. Delivery: Standard delivery is via FedEx International Priority (or an alternative suggested by the consignee). For time- and temperature-sensitive international shipments, World Courier is recommended. Delivery follows Incoterms 2020 FCA (Sussex Research, Ottawa, Canada). All products will be packaged and shipped by Sussex Research to the client’s designated location per the client’s written instructions, in compliance with applicable laws. Risk passes to the client upon delivery to the carrier at Sussex Research’s loading dock. Sussex Research does not provide replacements or refunds for goods delayed, lost, or otherwise affected by customs, courier delays, loss of dry ice, or any issues beyond Sussex Research’s control. Importers must ensure all customs paperwork is current and acceptable.
  7. Changes and Amendments: Any modifications to the project scope, timeline, or costs must be agreed upon in writing by both parties and may result in additional charges.
  8. Patent Liability: The client assumes full responsibility for any patent issues arising from the use of supplied goods. Sussex Research’s usage instructions or recommendations do not constitute a license under third-party patents.
  9. Intellectual Property: All intellectual property, methodologies, and proprietary materials developed by Sussex Research during a project remain the property of Sussex Research unless otherwise agreed upon in writing.
  10. Force Majeure: Sussex Research is not liable for delays or failures in fulfilling obligations due to events beyond its control, including but not limited to natural disasters, strikes, or regulatory actions.
  11. Warranty: This warranty replaces all other warranties or conditions, whether express or implied. This includes, but is not limited to, any implied warranties or conditions of merchantability, fitness for a particular purpose, non-infringement, or those arising by statute, common law, or standard trade practices. Sussex Research Laboratories Inc. makes no representations or warranties that the product will meet any specific requirements beyond those expressly stated in the product specifications provided at the time of sale.
